Terms and Conditions
These Terms and Conditions govern your access to and use of the TimeTraq platform and website (together, "the Service"). Please read them carefully before using the Service.
By accessing our website, registering for early access, joining our pilot programme, or using the TimeTraq platform, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
These Terms apply to both individuals accessing the platform and organisations that enter into an agreement with TimeTraq to use the Service (referred to as "Client Organisations").
1. About TimeTraq
TimeTraq is an HR and workforce management platform operated by TimeTraq Ltd ("TimeTraq", "we", "us", or "our"). Our platform provides tools for time tracking, payroll workflows, employee records management, contract management, and related HR functions.
TimeTraq is currently in a pilot phase. Features, modules, and pricing are subject to development and may change. We will communicate material changes to active participants.

2. Eligibility and Account Registration
To use the TimeTraq platform, you must:
- Be at least 18 years of age
- Have the authority to act on behalf of your organisation if registering as a business user
- Provide accurate and complete registration information
- Keep your login credentials secure and confidential
You are responsible for all activity that occurs under your account. If you become aware of any unauthorised use, you must notify us immediately at hello@timetraq.co.uk.
TimeTraq reserves the right to decline, suspend, or terminate accounts at its discretion, including where these Terms are breached.
3. Pilot Programme
TimeTraq is currently accepting organisations into a pilot programme prior to wider commercial release. The following terms apply to pilot participants:
3.1 Nature of the pilot
Participation in the pilot programme grants early access to the TimeTraq platform for the purposes of testing, feedback, and co‑development. The platform during this phase may be incomplete, subject to change, and may contain errors or limitations.
3.2 Pilot pricing
Pilot participants receive access at preferential rates agreed individually with TimeTraq. These rates are not guaranteed to continue after the pilot period ends. Pricing for the general release will be communicated in advance.
3.3 Feedback
Pilot participants may be invited to provide feedback on the platform. By providing feedback, you grant TimeTraq a non‑exclusive, royalty‑free licence to use that feedback to improve and develop the Service. You retain no obligation to provide feedback, and TimeTraq retains no obligation to act on it.
3.4 No guarantees
TimeTraq does not guarantee uninterrupted availability of the platform during the pilot phase. We will make reasonable efforts to notify participants of planned downtime or significant changes.
4. Permitted Use of the Service
You may use the TimeTraq platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable UK or international law
- Upload or submit data that is inaccurate, fraudulent, or that you do not have the right to use
- Attempt to gain unauthorised access to any part of the platform or its underlying systems
- Use the Service to transmit unsolicited communications or malicious code
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Resell, sublicense, or otherwise commercialise access to the Service without our written consent
- Use the Service in a way that could damage, overburden, or impair the platform or other users' access to it
TimeTraq reserves the right to investigate suspected breaches and to suspend or terminate access where a breach is confirmed or reasonably suspected.
5. Responsibilities of Client Organisations
Where an organisation subscribes to TimeTraq on behalf of its workforce, the following applies:
5.1 Administrator responsibility
The organisation's nominated administrator is responsible for managing user access, ensuring that only authorised individuals are given access to the platform, and for the accuracy of data entered into the system.
5.2 Employee data
Where you input employee personal data into TimeTraq, you confirm that you have a lawful basis for doing so under applicable data protection law, and that you have fulfilled any notification obligations to those individuals. You are the data controller for your employees' data. TimeTraq processes it on your behalf as data processor, in accordance with our Data Processing Agreement.
5.3 Compliance
You are responsible for ensuring that your use of TimeTraq complies with employment law, data protection law, and any other applicable regulations in your jurisdiction. TimeTraq does not provide legal or compliance advice.
6. Data and Privacy
Our Privacy Notice sets out how TimeTraq collects and uses personal data and is incorporated into these Terms by reference. You can read the Privacy Notice at timetraq-site.vercel.app/privacy.
Where TimeTraq processes employee data on behalf of a Client Organisation, the parties will enter into a separate Data Processing Agreement in accordance with UK GDPR requirements. This agreement governs the processing of personal data by TimeTraq as processor.
TimeTraq implements appropriate technical and organisational measures to protect data held on the platform, including encryption, access controls, and multi‑factor authentication.
7. Intellectual Property
All intellectual property rights in the TimeTraq platform, including its software, design, content, branding, and documentation, are owned by or licensed to TimeTraq Ltd. Nothing in these Terms transfers any ownership of those rights to you.
You are granted a limited, non‑exclusive, non‑transferable licence to access and use the Service for the purposes described in these Terms and any associated agreement. This licence may be revoked if you breach these Terms.
You retain ownership of any data you upload to the platform. By uploading data, you grant TimeTraq a limited licence to process that data solely for the purpose of providing the Service to you.
8. Platform Availability and Changes
TimeTraq aims to provide a reliable and available service, but we do not guarantee that the platform will be uninterrupted, error‑free, or available at all times. We may carry out maintenance, updates, or modifications that temporarily affect access.
We reserve the right to modify, suspend, or discontinue any feature or part of the Service at any time. Where changes are material, we will give reasonable notice to active users and Client Organisations.
During the pilot phase in particular, the platform is under active development and features may be added, changed, or removed as the product evolves.
9. Fees and Payment
Use of the TimeTraq platform during the pilot phase is subject to pricing agreed individually between TimeTraq and each Client Organisation. General release pricing will be published in advance of wider rollout.
Where fees are payable:
- Invoices are due within the period specified on the invoice
- TimeTraq reserves the right to suspend access where payment is overdue and remains unpaid after reasonable notice
- All fees are exclusive of VAT, which will be added where applicable
- TimeTraq reserves the right to adjust fees on reasonable notice, including at the end of a pilot period
10. Limitation of Liability
To the fullest extent permitted by law, TimeTraq shall not be liable for:
- Any indirect, incidental, or consequential loss arising from your use of or inability to use the Service
- Loss of data, revenue, profit, or business opportunity
- Any errors, omissions, or interruptions in the Service
- Any acts or omissions of third parties
TimeTraq's total aggregate liability to you for any claim arising in connection with these Terms or the Service shall not exceed the total fees paid by you to TimeTraq in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits TimeTraq's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify and hold harmless TimeTraq, its directors, employees, and agents against any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your use of the Service in a manner not permitted by these Terms
- Your violation of any applicable law or the rights of any third party
12. Termination
Either party may terminate their participation in the pilot programme or subscription to the Service on written notice, in accordance with any specific terms agreed between the parties.
TimeTraq may terminate or suspend your access immediately and without notice where:
- You have materially breached these Terms
- We are required to do so by law or a regulatory authority
- We reasonably believe continued access poses a risk to the platform, other users, or third parties
On termination, you must cease using the Service. We will provide you with a reasonable opportunity to export your data in accordance with our Data Processing Agreement. After that period, we will securely delete your data subject to any legal retention obligations.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal proceedings, we encourage you to contact us directly to seek a resolution. Many issues can be resolved quickly and informally.
14. General Provisions
14.1 Entire agreement
These Terms, together with our Privacy Notice, Cookie Policy, and any Data Processing Agreement or specific agreement entered into between the parties, constitute the entire agreement between you and TimeTraq in relation to the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
14.3 Waiver
A failure by TimeTraq to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
14.4 Changes to these Terms
We may update these Terms from time to time. We will notify active users of material changes by email or via the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14.5 Third party rights
These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
